Important Notice: By accessing and using ProLedger Accounting Services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the accounting services provided by ProLedger Accounting Services ("ProLedger," "we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.
2. Description of Services
ProLedger provides professional accounting, bookkeeping, payroll processing, tax preparation, and financial consulting services to businesses and individuals in the United States. Our services include but are not limited to:
- Bookkeeping and general ledger maintenance
- Accounts payable and receivable management
- Payroll processing and tax filing
- Tax preparation and planning
- Financial statement preparation
- QuickBooks setup, training, and support
- Business consulting and advisory services
3. Client Responsibilities
As a client of ProLedger, you agree to:
- Provide accurate, complete, and timely financial information necessary for us to perform our services
- Grant us necessary access to accounting systems, bank accounts, and financial records as required
- Respond to our information requests in a timely manner
- Maintain appropriate records and documentation to support financial transactions
- Notify us promptly of any changes in your business circumstances that may affect our services
- Review all work we provide and notify us of any discrepancies within 30 days
- Ensure compliance with all applicable laws and regulations related to your business
4. Service Fees and Payment Terms
Our fees for services are outlined in your individual service agreement. Key payment terms include:

Late payments may result in suspension of services and a late fee of 1.5% per month (18% annually) on the outstanding balance. We reserve the right to modify our fees with 30 days' written notice.
5. Confidentiality
We maintain strict confidentiality regarding all client financial information, business data, and proprietary information. Our confidentiality obligations include:
- Protecting all client information from unauthorized access or disclosure
- Using client information only for the purpose of providing our services
- Complying with all applicable privacy laws and regulations
- Requiring all employees and contractors to sign confidentiality agreements

6. Intellectual Property
All materials provided by ProLedger, including but not limited to reports, templates, processes, methodologies, and software, remain our intellectual property. Clients are granted a limited license to use these materials for their internal business purposes only. This license terminates upon termination of our services.
7. Limitation of Liability
Important: Our liability for any claim arising from our services is limited as follows:
- Our total liability for any claim shall not exceed the fees paid for the specific services giving rise to the claim during the six months preceding the claim
- We shall not be liable for any indirect, special, incidental, consequential, or punitive damages
- We are not liable for errors or omissions resulting from incomplete, inaccurate, or untimely information provided by the client
- We are not responsible for client decisions made based on our services or recommendations
8. Professional Standards
We provide our services in accordance with professional accounting standards, including:
- Generally Accepted Accounting Principles (GAAP)
- Internal Revenue Code and Regulations
- State and local tax laws
- Professional codes of conduct for certified accountants
However, we are not responsible for ensuring client compliance with laws and regulations. The ultimate responsibility for accurate financial reporting and tax compliance remains with the client.
9. Termination
Either party may terminate services with 30 days written notice. Upon termination:
- Clients are responsible for payment for all services rendered up to the termination date
- We will provide all work completed up to the termination date
- We will assist with the transition to a new service provider as specified in the service agreement
- Confidentiality obligations continue after termination
10. Force Majeure
We shall not be liable for any failure or delay in performing our services where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, labor disputes, system failures, internet outages, or government restrictions.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in New York County, New York, in accordance with the rules of the American Arbitration Association.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through our services. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
13. Third-Party Services
Our services may integrate with or require the use of third-party services, including QuickBooks, payment processors, and banking platforms. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the functionality or security of third-party services.
14. Disclaimer Regarding QuickBooks
Important Disclaimer: We are an independent accounting service provider and QuickBooks ProAdvisor. We are not affiliated with Intuit Inc., the maker of QuickBooks, unless specifically stated otherwise. QuickBooks is a registered trademark of Intuit Inc. We provide support, setup, and training services for QuickBooks but are not an official representative of Intuit.
